Please read these Terms & Conditions ("Terms") carefully before accessing or using the THEORLY platform. These Terms constitute a legally binding agreement between you (the "User") and THEORLY EdTech Private Limited ("THEORLY," "we," "us," or "our"), a company incorporated under the laws of India. By registering an account, accessing courses, or otherwise using our platform, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable Indian laws and regulations.
Section 01

Acceptance of Terms

By accessing or using the THEORLY platform — including our website, mobile application, and any school‑integrated portals — you agree to be bound by these Terms, our Privacy Policy, and any additional terms incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must not access or use the platform. Your continued use following any modification to these Terms constitutes acceptance of the revised Terms.

Notice to Minors and Parents: If you are under the age of 18, your parent or legal guardian must review and accept these Terms on your behalf before you may use the platform. Use of the platform by a minor constitutes confirmation that parental or guardian consent has been obtained.

THEORLY reserves the right to amend these Terms at any time. Users will be notified of material changes via their registered email address or through a notice on the platform.

Section 02

User Eligibility

Access to the THEORLY platform is available to the following categories of users:

  • School Students (Minors): Individuals under the age of 18 enrolled in a partnered or non‑partnered school, with verified parental or legal guardian consent.
  • Parents and Legal Guardians: Adults registering on behalf of their minor children, who assume full legal responsibility for the minor's platform use.
  • School Administrators and Educators: Authorised representatives of partner institutions accessing the platform under a School Partnership Agreement.

2.1 Parental Consent Requirements

In compliance with applicable Indian law concerning the protection of minors' data and online safety, the following requirements apply to all users under the age of 18:

  • A parent or legal guardian must create or approve the student account on the platform.
  • By completing registration for a minor, the parent or guardian confirms their legal authority to provide consent on the child's behalf.
  • Parents and guardians may access, review, and request deletion of their child's account and associated data at any time by contacting THEORLY support.
  • THEORLY may require additional verification of parental consent before granting access to paid content or issuing digital certifications.

2.2 Geographic Eligibility

The THEORLY platform is primarily designed for users within the Republic of India. Users accessing the platform from other jurisdictions do so at their own risk and are solely responsible for compliance with local laws. THEORLY makes no representation that its operations comply with the laws of any jurisdiction other than India.

Section 03

Account Registration

To access THEORLY courses and features, users must register for an account. By registering, you represent and warrant that:

  • All information provided during registration is accurate, current, and complete.
  • You will promptly update your account information to keep it accurate and current.
  • You are either the account holder or a parent/guardian registering on behalf of a minor.
  • You will maintain the confidentiality of your login credentials and not share them with any third party.
  • You will immediately notify THEORLY of any unauthorised access to or breach of your account.

3.1 Account Responsibility

Each account is personal and non‑transferable. You are solely responsible for all activities conducted through your account. THEORLY shall not be liable for any loss or damage arising from your failure to maintain the security of your credentials.

3.2 Account Suspension and Termination

THEORLY reserves the right to suspend, disable, or permanently terminate any account — with or without notice — if THEORLY determines the account holder has violated these Terms, engaged in fraudulent activity, misrepresented their identity or eligibility, or otherwise acted detrimentally to the platform, its users, or THEORLY's interests.

School‑Linked Accounts: Where accounts are created through a school partnership portal, the school administrator may have administrative visibility over certain account details. Please refer to disclosures provided at the time of school‑linked registration.
Section 04

Course Access & Certification

4.1 Nature of Access

THEORLY offers a library of self‑paced digital courses covering Artificial Intelligence, Automation, Cybersecurity Fundamentals, and Digital Creativity. Courses are designed as supplemental learning resources and are not intended to replace formal school curriculum or instruction.

Upon enrolment — free or paid — THEORLY grants a limited, non‑exclusive, non‑transferable, revocable licence to access and complete the course for personal, non‑commercial, educational purposes only.

4.2 Platform Availability

THEORLY endeavours to maintain continuous platform availability; however, we do not guarantee uninterrupted access. The platform may be subject to scheduled maintenance, unplanned outages, or temporary restrictions. THEORLY shall not be liable for inconvenience or loss arising from such unavailability.

4.3 Course Completion and Certification

Users who meet all prescribed completion criteria — including assessments, projects, and other required activities — are eligible to receive a THEORLY Certificate of Completion. The following terms apply:

  • Certificates are issued digitally. Users are granted a personal licence to display or share them for legitimate educational or professional purposes.
  • THEORLY certifications are supplemental recognitions of course completion and do not constitute formal academic qualifications, degrees, or diplomas under any applicable Indian educational regulation.
  • THEORLY makes no representations regarding the acceptance or recognition of its certificates by any third party, institution, employer, or regulatory body.
  • Certificates obtained through dishonest means — including academic misconduct, impersonation, or assessment circumvention — may be revoked at any time.

4.4 Content Updates

THEORLY reserves the right to update, modify, discontinue, or remove course content at any time. While we endeavour to minimise disruption to enrolled users, we are not obligated to provide advance notice of content changes unless specified in a paid course agreement.

Section 05

Payments & Refunds

5.1 Pricing and Fees

Certain courses and premium features are available on a paid basis. All fees are displayed in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless otherwise stated. THEORLY reserves the right to modify pricing at any time; however, pricing changes shall not affect purchases already completed.

5.2 Payment Processing

Payments are processed through third‑party payment gateway providers. By completing a purchase, you agree to the applicable payment gateway's terms and conditions. THEORLY does not store or have access to your complete payment card information. THEORLY shall not be liable for transaction failures resulting from payment gateway errors, insufficient funds, or bank‑imposed restrictions.

5.3 Refund Policy

  • 7‑Day Refund Window: Users may request a full refund within seven (7) calendar days of purchase, provided that less than twenty percent (20%) of the course content has been accessed.
  • No Refund After Substantial Access: Once more than 20% of a course's content has been accessed, the purchase is final and no refund shall be issued.
  • Technical Issues: Where a user cannot access purchased content due to a verified technical fault attributable to THEORLY, a refund or course credit may be issued at THEORLY's discretion upon contact within 14 days of the reported issue.
  • Certificates: Fees for the issuance or reissuance of certificates are non‑refundable once generated and delivered.
School‑Subsidised Enrolments: Refund policies for courses enrolled through a school partnership arrangement may differ and shall be governed by the applicable School Partnership Agreement.

5.4 Disputed Charges

If you believe you have been incorrectly charged, contact THEORLY at billing@theorly.in within thirty (30) days of the charge. Filing a chargeback without first contacting THEORLY may result in the suspension of your account.

Section 06

Intellectual Property

6.1 Ownership of Platform Content

All content on the THEORLY platform — including course videos, lesson materials, assessments, illustrations, animations, code exercises, written content, branding, logos, and software — is the exclusive property of THEORLY EdTech Private Limited or its licensed content partners, protected under the Copyright Act, 1957 (as amended) and applicable international intellectual property law.

6.2 Restrictions on Use

Without prior written authorisation from THEORLY, users are expressly prohibited from:

  • Reproducing, distributing, displaying, or transmitting any platform content in any form or medium.
  • Downloading, screen‑recording, or capturing platform content beyond functionality expressly provided by THEORLY.
  • Creating derivative works based on THEORLY content.
  • Using THEORLY content for commercial purposes, including resale, sublicensing, or incorporation into other products.
  • Removing or altering any copyright, trademark, or proprietary notices embedded in the content.

6.3 User‑Generated Content

Where users submit content to the platform — such as project submissions, forum posts, or portfolio work — the user retains ownership but grants THEORLY a non‑exclusive, royalty‑free, worldwide licence to use, display, and reproduce such content for platform operations, service improvement, and educational showcasing. THEORLY will not commercially exploit user‑generated content without separate explicit consent.

6.4 Feedback

Any feedback or suggestions submitted to THEORLY may be freely used to improve our services without obligation of compensation, attribution, or confidentiality to the submitting user.

Section 07

Acceptable Use Policy

Users must use the THEORLY platform in a lawful, responsible, and respectful manner. The following conduct is strictly prohibited:

  • Using the platform for any purpose that is unlawful or prohibited under applicable Indian law.
  • Misrepresenting your identity, qualifications, or affiliation during registration or use.
  • Sharing, copying, or distributing course content or login credentials with unauthorised persons.
  • Circumventing or attempting to circumvent assessments or completion requirements through dishonest means.
  • Uploading or sharing content that is defamatory, obscene, offensive, discriminatory, or harmful — particularly content targeting minors.
  • Attempting to gain unauthorised access to the platform's systems, databases, or other users' accounts.
  • Using automated tools, bots, scripts, or scrapers to access or extract data from the platform.
  • Engaging in activity that disrupts, damages, or impairs the platform's infrastructure or user experience.
  • Using the platform to promote or solicit third‑party products or services without prior written consent.

7.1 Enforcement

THEORLY reserves the right to investigate and take appropriate action — including warnings, account suspension, certificate revocation, or referral to law enforcement — against any user suspected of violating this Policy.

Section 08

School Partnerships

8.1 Nature of Partnership

THEORLY partners with educational institutions ("Partner Schools") to offer digital courses as supplemental learning resources to their students. Such partnerships are governed by separate School Partnership Agreements in addition to these Terms.

8.2 Role of Partner Schools

By entering into a School Partnership Agreement, the institution acknowledges and agrees that:

  • The school is responsible for obtaining necessary parental or guardian consents prior to enabling student access.
  • The school shall designate an authorised administrator to manage school‑linked accounts and ensure compliance with these Terms.
  • The school shall not represent THEORLY's supplemental courses as replacements for core curriculum or as formally accredited programmes.
  • The school shall promptly notify THEORLY of any misuse, data concerns, or incidents involving student accounts from its institution.

8.3 Supplemental Nature of the Platform

THEORLY expressly operates as a supplemental educational resource. Nothing in these Terms or any School Partnership Agreement shall be construed to impose on THEORLY the obligations of a formal educational institution, examination board, or accrediting authority.

8.4 THEORLY's Rights in Partnership Context

THEORLY reserves the right to suspend or terminate a School Partnership Agreement if the partner institution is found to be in breach of the agreement, these Terms, or applicable law. THEORLY shall endeavour to provide reasonable advance notice where operationally feasible.

Section 09

Limitation of Liability

9.1 Platform Provided "As Is"

The THEORLY platform and all its content, features, and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permissible under applicable law, THEORLY disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

9.2 Educational Outcomes

THEORLY makes no guarantees regarding specific educational outcomes, academic performance improvements, career advancement, or skill acquisition resulting from use of the platform. Individual learning outcomes depend on factors beyond THEORLY's control.

9.3 Liability Cap

To the maximum extent permitted by applicable Indian law, THEORLY's total aggregate liability to any user for any claims arising from these Terms or use of the platform shall not exceed the total amount paid by the user to THEORLY in the twelve (12) months preceding the event giving rise to the claim, or INR 1,000 (One Thousand Rupees), whichever is greater.

9.4 Exclusion of Consequential Damages

In no event shall THEORLY, its directors, officers, employees, affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or service interruption — arising from your use of the platform, even if THEORLY has been advised of the possibility of such damages.

Jurisdiction Note: Where applicable law does not permit certain exclusions or limitations of liability, THEORLY's liability shall be limited to the maximum extent permitted under such law.
Section 10

Privacy Policy Reference

Your use of the THEORLY platform is also governed by our Privacy Policy, incorporated into these Terms by reference. The Privacy Policy describes how THEORLY collects, uses, stores, shares, and protects your personal information — including the data of minors — in accordance with applicable Indian data protection law.

THEORLY is committed to safeguarding the privacy and safety of its users, particularly children and adolescents. We strongly encourage parents, guardians, and students to read the Privacy Policy in full before registering.

Children's Data: THEORLY does not knowingly collect personal data from minors without verifiable parental consent. If you believe personal data has been collected from a child without appropriate consent, please contact us immediately at privacy@theorly.in.
Section 11

Governing Law & Dispute Resolution

11.1 Governing Law

These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Relevant statutes include the Information Technology Act, 2000 (as amended), the Indian Contract Act, 1872, and the Consumer Protection Act, 2019.

11.2 Jurisdiction

Subject to the arbitration clause below, all disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India. By using the platform, you irrevocably consent to the personal jurisdiction of such courts.

11.3 Dispute Resolution and Arbitration

THEORLY encourages users to first attempt informal resolution by contacting our support team. If a dispute cannot be resolved informally within thirty (30) days, the parties agree to resolve it through binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in English, with the seat of arbitration in Bengaluru, India. The arbitrator's decision shall be final and binding.

11.4 Consumer Rights

Nothing in these Terms limits or excludes any rights you may have as a consumer under applicable Indian consumer protection law, including recourse to consumer dispute redressal forums under the Consumer Protection Act, 2019.
